Terms of Sale

1. Purpose and scope

These Terms of Sale (the « Terms ») govern the services offered by Nolan Chrétien(sole trader, Entrepreneur individuel, EI), trading under the business name « Création Singulière» (hereinafter the « Provider »), to its professional clients (hereinafter the « Client »). Any order implies full and unreserved acceptance of these Terms.

2. Services

The Provider offers influencer marketing and content creation services: strategy, provision of creators, script writing, production and editing, distribution and reporting. The detailed scope of the services is set out in the quote accepted by the Client.

The Provider is bound by an obligation of means (best efforts). Performance metrics (views, engagement, conversions) depend on many external factors (algorithms, audiences) and cannot be contractually guaranteed.

3. Quote and order

Each service is the subject of a personalized, free quote. The order becomes firm upon the Client's written acceptance of the quote (signature or agreement by email) and, where applicable, payment of the deposit. The quote is valid for 30 days unless otherwise stated.

4. Prices

Prices are stated in euros and set out in the quote. VAT not applicable, article 293 B of the French Tax Code (CGI). Any additional service not provided for in the quote will be the subject of a separate quote.

5. Payment terms

Unless otherwise agreed, a deposit is paid on placing the order, with the balance due on delivery. Invoices are payable on receipt, by bank transfer. Any late payment automatically gives rise to penalties at the legal rate in force, as well as a fixed recovery indemnity of 40 euros (article L441-10 of the French Commercial Code).

6. Delivery and timelines

Timelines are provided for guidance only and run from receipt of the necessary elements (brief, access, approvals). The Provider cannot be held liable for delays attributable to the Client or to an event of force majeure.

7. Approval and revisions

Each piece of content is submitted to the Client for approval before publication. Unless otherwise stated in the quote, up to three (3) rounds of revisions are included. Beyond this, additional adjustments may be invoiced.

8. Client obligations

The Client undertakes to provide, in good time, the information, access, approvals and elements (logos, brand guidelines, products) needed for the proper performance of the services, and to warrant that it holds the rights to the elements provided.

9. Intellectual property

The content produced is assigned to the Client for the uses and durations defined in the quote, after full payment. Unless otherwise stated, the Provider and the creators retain the right to showcase the content produced for reference purposes (portfolio, social networks).

10. Confidentiality

Each party undertakes to keep confidential the information exchanged in the course of the collaboration.

11. Liability

The Provider's liability, on any grounds whatsoever, is limited to the amounts actually paid by the Client for the service concerned. The Provider cannot be held liable for indirect damages.

12. Termination

In the event of a serious breach by one of the parties that is not remedied within 15 days of formal notice, the other party may terminate the collaboration. Services already performed remain due.

13. Personal data

The processing of personal data is described in our privacy policy.

14. Governing law and disputes

These Terms are governed by French law. In the event of a dispute, the parties will seek an amicable solution before taking any action. Failing that, the French courts shall have sole jurisdiction.
